1. Acceptance of Terms

By accessing or using the services provided by Atlantic Meridian Automobile Limited (also known as "Atlantic Meridian EV", "AMEV", "we", "us", or "our"), including our website, mobile applications, electric vehicle charging network, vehicle sales, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms").

If you do not agree to these Terms, you must not access or use our Services. We reserve the right to update these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of the new Terms.

2. Account Registration

2.1 Account Creation

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

2.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

3. Use of Services

3.1 Permitted Use

4. EV Charging Services

4.1 Charging Station Use

When using our EV charging stations, you agree to:

• Use charging equipment properly and safely
• Move your vehicle promptly after charging completion
• Report any equipment damage or malfunction immediately
• Pay all applicable charging fees and idle fees
• Follow all posted instructions and safety guidelines

4.2 Availability

We do not guarantee the availability of charging stations at any specific time. Station availability is subject to maintenance, power availability, and other factors beyond our control.

5. Vehicle Sales and Test Drives

5.1 Vehicle Purchase

Vehicle purchases are subject to additional terms and conditions provided at the time of sale, including warranty terms, delivery conditions, and payment terms.

5.2 Test Drives

Test drive participants must:

• Hold a valid driver's license
• Meet minimum age requirements (21 years)
• Sign a test drive agreement and waiver
• Follow all traffic laws and safety instructions
• Return the vehicle in the same condition

6. Payment Terms

6.1 Fees and Charges

You agree to pay all fees associated with your use of the Services, including but not limited to:

• Charging session fees based on time or energy consumed
• Idle fees for vehicles left at charging stations after completion
• Subscription fees for premium services
• Vehicle purchase prices and associated fees
• Any applicable taxes and surcharges

6.2 Payment Methods

We accept various payment methods including credit cards, debit cards, and digital wallets. By providing payment information, you authorize us to charge the applicable fees to your selected payment method.

6.3 Refunds

Refunds are provided at our discretion and in accordance with our refund policy. Charging session fees are generally non-refundable unless there was a service failure on our part.

7. Intellectual Property

7.1 Our Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of AMEV or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

7.3 User Content

By submitting content to our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content for the purpose of operating and improving our Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE SERVICE
• ACCURACY OR RELIABILITY OF INFORMATION

We do not warrant that the Services will meet your requirements or that defects will be corrected. You assume all risk for your use of the Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AMEV, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or delays
• Damages resulting from unauthorized access to your account
• Damages exceeding the fees paid by you in the 12 months prior to the event

These limitations apply regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless AMEV, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account.

11. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Ghana Arbitration Act, 2010 (Act 798) and the rules of the Ghana Arbitration Centre, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Ghana.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and AMEV regarding the use of the Services, superseding any prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.

15.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17. Special Provisions for Mobile App

If you access our Services through a mobile application, the following additional terms apply:

• You acknowledge that these Terms are between you and AMEV only, not with the app store provider
• Your use of the mobile app must comply with the app store's terms of service
• We are solely responsible for the app and its content
• The app store provider has no obligation to provide maintenance or support services
• You acknowledge that the app store provider is a third-party beneficiary of these Terms
